Terms of Service
Last updated: 2 September 2026 · In force
These terms govern your use of the Evda compliance workspace at app.evda.ai, its APIs and integrations, and the website at evda.ai (together, the Service), provided by Evda (“we”, “us”).
By creating an account, accessing the Service, or signing an order form that references these terms, you agree to them. If you are agreeing on behalf of a company, you confirm you are authorised to bind it — “you” then means that company (the Customer).
Where you have signed an order form, pilot agreement or design-partner agreement with us, that document prevails over these terms to the extent of any conflict.
1. What the Service does — and what it does not do
Evda helps compliance teams assemble, evidence and document Know Your Business (KYB) and Enhanced Due Diligence (EDD) cases. Its AI features read the documents you provide and draft findings, summaries and suggested next steps.
Evda is a tool, not a compliance decision. Every output is a draft for a qualified person to review. Evda does not make onboarding, rejection, reporting or risk decisions, and does not provide legal, regulatory or professional advice.
You remain solely responsible for your regulatory obligations — including customer due diligence, sanctions screening, suspicious activity reporting and record-keeping — and for the decisions your staff take with the Service’s help.
2. Accounts and access
Accounts are for named individuals within your organisation. You are responsible for keeping credentials secure, for enabling and maintaining multi-factor authentication where offered, for the acts of everyone using your workspace, and for promptly removing users who leave. Tell us at once at nik@evda.ai if you suspect unauthorised access.
3. Acceptable use
You may not, and may not permit anyone else to:
- use the Service unlawfully, or to further money laundering, sanctions evasion, fraud or any other offence;
- upload data you have no lawful basis to process, or that you are contractually barred from disclosing;
- attempt to access another customer’s workspace or data, probe or breach security controls, or circumvent rate limits;
- reverse engineer, decompile or attempt to derive the source code or models behind the Service, except where the law expressly permits it;
- resell, sublicense or provide the Service as a bureau service to third parties without our written agreement;
- use the Service to build a competing product, or to benchmark it for publication without our consent;
- upload malware, or content that infringes another person’s rights.
We may suspend access without notice where we reasonably believe there is a security risk, unlawful use, or a breach of this section, and we will tell you why and restore access once the cause is resolved.
4. Your data
You keep all rights in the data, documents and case material you put into the Service (Customer Data). You grant us a limited licence to host, process and display it solely to provide and support the Service.
We process personal data within Customer Data as your processor, on your documented instructions, under our Data Processing Agreement, which forms part of these terms. Our Privacy Policy explains what we do with personal data for which we are the controller.
We do not train models on Customer Data, and we do not use it to develop or improve generalised AI or machine learning models. Our AI provider is contractually barred from retaining it for training.
5. Third-party integrations
The Service offers optional connections to Google Calendar and Google Drive. Enabling one is your choice, it is made per user, and it may be disconnected at any time from Settings → Integrations or revoked at myaccount.google.com/permissions.
Your use of Google’s own services remains governed by your agreement with Google. We are not responsible for a third-party service being unavailable, changing its terms, or withdrawing access. The Privacy Policy sets out exactly what each integration accesses.
6. Our intellectual property
The Service, its software, models, prompts, interfaces, documentation and branding remain ours. These terms grant a non-exclusive, non-transferable right to use the Service during your subscription — nothing more. Feedback you give us may be used freely and without obligation, and we will not identify you as its source.
7. Fees, invoicing and taxes
| Item | Terms |
|---|---|
| Charges | As stated in your order form. Where no order form exists, access is provided free of charge under section 8. |
| Billing | In advance — monthly or annually, as the order form states. |
| Payment | Within 30 days of the invoice date, in the currency stated. |
| Taxes | Fees are exclusive of VAT and other applicable taxes, which you pay in addition. |
| Late payment | We may charge statutory interest and, after 14 days’ written notice, suspend access. |
| Refunds | Fees are non-refundable, and we do not refund part-periods — except where you terminate for our uncured material breach under section 9, when we refund the unused portion of prepaid fees pro rata. |
| Price changes | We give at least 30 days’ notice before a renewal term; if you do not accept, you may decline to renew. |
8. Design-partner and trial access
The Service is at an early stage. Where we provide it free of charge — as a trial, pilot or design partnership — it is supplied “as is” and “as available”, with no service-level commitment, and we may change, suspend or withdraw it at any time on reasonable notice. Features may change, and functionality may be added or removed. Our liability for free access is limited to the fullest extent the law allows.
9. Term, termination and what happens to your data
These terms apply for as long as you hold an account. Either party may:
- terminate a paid subscription with 30 days’ written notice before the end of the then-current term;
- terminate free or design-partner access at any time, on written notice;
- terminate for material breach immediately, if the other party has not cured the breach within 30 days of written notice.
On termination your access ends. You have 30 days to export your data, during which we will provide it in a commonly used machine-readable format on request. After that period we delete Customer Data in line with the DPA, save for backups that expire on their normal cycle and records we must keep by law.
Sections 4, 6, 10, 11, 12 and 14 survive termination.
10. Confidentiality
Each party will protect the other’s non-public information with at least reasonable care, use it only to perform under these terms, and disclose it only to staff and advisers who need it and are bound by equivalent duties. This does not apply to information that is public through no fault of the recipient, was already known, or is independently developed. Disclosure compelled by law is permitted, with notice where lawful to give it.
11. Warranties and disclaimers
We warrant that we will provide the Service with reasonable skill and care, and that we will not knowingly introduce malicious code.
Beyond that, and to the fullest extent permitted by law, the Service is provided without warranty of any kind. We do not warrant that it will be uninterrupted or error-free, that AI-generated output will be accurate, complete or fit for any particular purpose, or that using the Service will make you compliant with any law or regulation. AI output must be verified by a competent person before you rely on it.
12. Liability
Neither party excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be excluded.
Subject to that, and to the fullest extent permitted by law:
- neither party is liable for indirect or consequential loss, loss of profit, revenue, goodwill, anticipated savings, or for regulatory fines or penalties imposed on the other party;
- each party’s total aggregate liability arising out of or in connection with these terms is capped at the fees paid or payable by you in the 12 months preceding the event giving rise to the claim; and
- where the Service is provided free of charge, that cap is EUR 1,000.
These caps do not apply to your obligation to pay fees, to either party’s breach of section 10, or to your breach of section 3.
13. Changes to the Service and to these terms
We continue to develop the Service and may change its features. We will not materially reduce core functionality during a paid term without offering you the right to terminate and receive a pro-rata refund.
We may update these terms. For material changes we give at least 30 days’ notice by email or in the product; continuing to use the Service after they take effect means you accept them. The date at the top always reflects the current version.
14. Governing law and disputes
These terms, and any dispute arising out of them, are governed by the laws of Poland, excluding its conflict-of-laws rules and the UN Convention on Contracts for the International Sale of Goods. The courts of Warsaw, Poland have exclusive jurisdiction, save that either party may seek injunctive relief in any competent court.
Before starting proceedings, each party will raise the dispute in writing and the parties will try in good faith to resolve it within 30 days.
15. General
You may not assign these terms without our consent; we may assign them to an affiliate or to a successor in a merger or sale of assets. Nothing here creates a partnership, agency or employment relationship. If a provision is held unenforceable, the rest stands. A failure to enforce a right is not a waiver of it. Notices to us go to nik@evda.ai; notices to you go to the email on your account. Neither party is liable for failure caused by events outside its reasonable control. These terms, together with the DPA, the Privacy Policy and any order form, are the entire agreement between us on this subject.
